Terms of Service
Updated 23 October 2026.
Effective: [Effective date: set when published]
Virtus Blockchain Labs LLC, a New York limited liability company ("we", "us"), runs Terminal, the service at terminal.tokensmarketcap.com. TokensMarketCap is the same company. These terms cover Terminal. They do not replace the public TokensMarketCap terms for that site.
This is a contract between you and us. The short summary is not the contract. The sections below are.
Summary. You must be 18 or older. You check a box to agree. You pay the price shown before you pay. A paid plan renews until you cancel, and you can cancel it in Billing. A credit pack does not renew. Notes describe data. They are not investment advice. You may use what Terminal computes for your own purposes, but you may not pass on the raw market data. New York law governs these terms. We can close an account that breaks these terms or that sanctions law forbids.
Agreement to these terms
We do not treat a footer link, or a visit to the site, as your agreement.
You agree to these terms and the Privacy Policy when you check the box on the create-account form. The box starts unchecked. You have to check it yourself. The Refund and Cancellation Policy, the Acceptable Use Policy, the Data sources notice, the Copyright policy, the AI and data notice, and the not investment advice notice are part of these terms.
You check a box on the billing page before we accept a payment. That box confirms you saw the seller details and the refund policy. For a renewing plan, the checkout text next to that box states that the plan renews until you cancel. The box starts unchecked.
If you create an account with Google or GitHub from the create-account page, check the box first. Those buttons on that page do not continue until you do. If you do not want these terms, do not check the box, do not create an account, and do not pay.
We may post a new version of these terms. We will change the date at the top. If a change is material, we will email the account address before the change affects a renewal or a new payment, and we will ask you to check the box again before that payment. If you do not agree to the new terms, do not check the box and do not pay. You can delete the account.
Who may use Terminal
You must be at least 18 years old. You must be able to enter a contract. You may not open an account for a child, and you may not let a child use your account. The service is not directed to children under 13.
Terminal is offered from the United States. You are responsible for following the laws of the place where you live. We do not claim that Terminal is lawful everywhere. A right that the law of your place says we cannot take away still applies.
You must give us an email address you can open. You are responsible for the activity on your account, for keeping your password private, and for the accounts you connect. You confirm that you have the right to connect those accounts and to let Terminal use them as you instruct.
The service
Terminal watches data you select, on a schedule you set, and writes a note about what the data showed. You can also use chat. A note and a chat reply are descriptions. They are not investment advice. The not investment advice notice is part of these terms.
You choose the symbol and the rule. We do not ask about your income, your taxes, or how much risk you can take. An alert on a price, a funding rate, open interest, or another figure is a description of that figure. It is not a recommendation to buy, sell, hold, or to enter or leave a position.
Market figures come from our data sources. The Data sources notice names them. They can be late, missing, or wrong. A missing figure is shown as unavailable. We do not fill a missing price with zero on purpose. We do not promise that a note is complete, current, or fit for a decision.
Some sentences are written by a language model. The model can be wrong. The AI and data notice explains what we send the model and what the model is not. That notice is part of these terms.
We do not place trades, hold your crypto, or manage money for you. Connected accounts do only what you connect them to do.
Acceptable use
The Acceptable Use Policy is part of these terms. In short, you will not use Terminal to:
- Break the law, or help someone else break the law
- Evade sanctions, launder money, or commit fraud
- Access an account, system, or dataset you do not have rights to
- Probe, disrupt, or overload the service, or bypass a rate limit or access control
- Upload malware, or send someone else's secrets
- Impersonate another person, a company, or Terminal
- Scrape the service, or resell, sublicense, or redistribute raw market data or another user's data
- Use a note as if we told you to buy, sell, or hold an asset
- Manipulate a market, including by publishing a note or a listing you know is false
- Collect other people's personal information through the service
- Use the service if the sanctions section below forbids it
We can investigate misuse. We can remove content, pause an alert or a listing, revoke a key, or suspend or close an account that breaks these terms, that puts the service or other people at risk, or that we must close under the law. We will email you when we can do so without creating a security or legal problem.
Market data and what you may do with it
Terminal computes alerts, notes, receipts, records, indexes, and counts from market data. Some of that data comes from CoinDesk Data, under an agreement that lets us sell what we compute from it. Other data comes from public sources. The Data sources notice names each source.
You may use what Terminal gives your account, including alerts, notes, receipts, and records, for your own purposes. That includes software you run for your own account. You may share a single alert with the share button, or quote a single figure with its source and time.
You may not resell, sublicense, or redistribute raw market data you get through Terminal, such as prices, candles, order books, trades, or news. You may not rebuild a price history or a data feed from Terminal, and you may not remove the source line, such as "Market data: CoinDesk Data", from a number you show to other people. These limits come from our data licences. They stay in effect after your account ends for data you already received.
Prices
The billing page and the checkout form list each plan and each credit pack, what you get, and the price in US dollars. That price is the price, before any tax the checkout adds. What the button shows is what you agree to pay. If another page shows a different example, the checkout form controls.
A paid plan renews for the period shown at checkout until you cancel. A credit pack is a one-time charge. It does not renew. It is not a token, a share, or a promise of profit.
Credits left on the account are not cash. Spent credits are not restored because you disliked a note. Deleting the account removes credits that are left and does not cash them out.
Card payments are processed by Stripe when card checkout is open. We do not store your full card number. A card charge shows the descriptor on our card account. A credit pack can add a short suffix set for that charge. A crypto payment, where a page still offers one, is a transfer on a public network to the address the invoice shows. We cannot reverse a crypto transfer.
The page where you manage a plan is Billing.
Subscriptions and automatic renewal
A charge renews only if the checkout form says that it renews. Before you enter a card, that form shows the price, what you get, the billing period, whether a trial applies, and how to cancel. Those details are the ones you agree to.
For a renewing plan:
- You agree to the renewal by checking the box at checkout. The box starts unchecked. We keep a copy of the renewal terms shown to you at checkout, with the date, as the record of that agreement.
- The plan renews for the same period, at the price shown at checkout, until you cancel, unless we email you a new price before the renewal that uses that price.
- If checkout offers a trial, you are not charged on the day you start. The first paid charge is when the trial ends, unless you cancel before then. The trial length is the length shown at checkout.
- We email you before a trial ends. The email states the amount, the date of the charge, and how to cancel.
- After you start a renewing plan, we email a confirmation you can keep. It repeats the price, the period, any trial, and how to cancel.
- If the plan's first term is one year or longer, we email you at least 15 days and not more than 45 days before that plan renews. The email states the amount, the date of the charge, and how to cancel.
- Once each year, we email you about a renewing plan. The email names the plan, how often it is charged, the amount, and how to cancel.
- If we change the price of a plan you already have, we email you before the renewal that uses the new price. The email states the new price and how to cancel, in a form you can keep. We send that email at least 7 days and not more than 30 days before that renewal.
- You can cancel in Billing, or by writing to the support email in the seller details, from the email on the account. Cancellation online will not be harder than signing up. If we offer you something to stay, you can still cancel in that same step without accepting the offer.
- Cancel before the renewal date to stop the next charge. You keep the plan through the end of the period you already paid for, except where the refund policy or the law requires a refund.
- If a renewal charge fails, we email you. The plan stays on for 7 days while the card is retried. Then the account moves to the free plan. Rules over the free limit pause. They are not deleted.
These steps are written to meet the automatic renewal laws of New York (General Business Law section 527-a) and California (Business and Professions Code section 17600 and following). Where the law of your state gives you more, that law controls.
Do not start a renewing plan if you do not agree to the renewal. Deleting the account is not the same as canceling at period end. Deleting the account cancels a renewing plan immediately. We do not refund the days left in that period, except where the law requires a refund.
Referral program
Each account with a confirmed email has an invite link. These rules apply to it.
- Your friend's trial. A person who opens your link and then creates a new account gets a Trader trial of 30 days instead of 14, if they start Trader within 30 days of creating the account. An account gets one trial.
- Which link counts. The first invite link or shared alert page a browser opens counts for 30 days in that browser. A later link does not replace it. An account is credited to one person at most, when it is created, and never changes.
- Your reward. You get a reward when your friend's first payment for a plan of at least $1 has gone 14 days without a refund or a dispute. We give it within 5 days after that. If you have no paid plan at that time, the reward is 30 days of Trader. Rewards that arrive close together run one after another. If you have a paid plan at that time, the reward is a credit on your billing account equal to one month of your plan at its monthly price, applied to your next bills.
- Limit. You can get up to 12 rewards for each calendar year. After that, your friends still get the longer trial, and you get no reward for them.
- No reward. There is no reward when the new account uses your own email address (we ignore capital letters, text after a "+", and dots in Gmail addresses), when either account is deleted before the reward is given, or when the payment is refunded or disputed within the 14 days.
- Rewards stay. A reward is not taken back after it is given, even if your friend's payment is refunded later. A reward has no cash value. It cannot be transferred or exchanged for money. It ends when your account is deleted.
- Posting your link. If you post your link, say that you get a free month if your friend pays. Do not send it in bulk messages to people who did not ask for it. Do not use it in ads that use our name.
- Changes. We can change or end the program. A change does not remove a reward already given, and it does not apply to a friend's payment made before the change.
Refunds and cancellation
Refunds and cancellation follow the Refund and Cancellation Policy. That policy is part of these terms. Read it before you pay. The seller block below is shown again on the billing page, above the payment buttons. A shorter sentence on another page does not shorten a refund this policy requires.
Seller details
Before we take a payment we show:
- Legal name: Virtus Blockchain Labs LLC
- Street address: 1735 62nd Street, Apt 2R, Brooklyn, NY 11204
- Support email: contact@tokensmarketcap.com
- Refund policy: Refund and Cancellation Policy
Anything still in square brackets above is a placeholder until it is filled in. Until then, contact us through tokensmarketcap.com. To have these seller details sent to your email, write from the account email to the support address above, or through those contact channels. We will send them to that email.
The price is the price in US dollars on the button you choose, before any tax the checkout adds. A credit pack does not renew. If the plan renews, checkout states the price, the period, any trial, and how to cancel before you check the box.
Sanctions
You may not use Terminal if a United States sanctions rule forbids it. That includes use by a person who is on the US Treasury Specially Designated Nationals and Blocked Persons list, or on another US sanctions list, and use from a country or region under a comprehensive US embargo.
You confirm that you are allowed to use the service under those rules, and that you will not use Terminal for the benefit of a person or place those rules block. We can close an account that is prohibited, and we can refuse a payment we cannot accept under those rules. We do not owe a refund where paying it would itself violate sanctions law, except where the law still requires one.
Intellectual property
We own Terminal, the site, and our text, except for the market data and account content that belong to others. You keep what you write: instructions, names, and chat messages. You give us a license to host, copy, and process that material only to run the service for you, to keep the service secure, and to meet the law. The license ends when you delete the content or the account, except for copies we must keep as payment records or that remain in backups for a short time.
You will not copy the service, scrape it, or remove a notice of our rights. Market data may be under a third party's terms. You do not receive a license to resell that data. The market data section above says what you may do with it.
If you believe something on Terminal infringes your copyright, follow the Copyright policy. We close the accounts of people who infringe repeatedly.
Disclaimers
Terminal is provided as is and as available. To the extent the law allows, we disclaim warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the service will be uninterrupted, timely, secure, or error-free.
We do not warrant that a price, a headline, a model note, or a chat reply is accurate or complete. We do not warrant that the service will meet a trading goal. Some places do not allow an implied-warranty disclaimer. In those places, the disclaimers apply only as far as the law allows.
Liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or a trading loss, even if we were told that loss was possible.
To the extent the law allows, our total liability for all claims arising out of Terminal in a 12 month period is limited to the greater of (a) the amount you paid us for Terminal in the 12 months before the claim and (b) 100 US dollars.
The cap does not apply to fraud or willful misconduct. It does not apply to a right a statute says we cannot limit. [Counsel will confirm this cap, and will list the exceptions that must remain, including liability that cannot be limited for fraud, willful misconduct, or a duty the law does not let us waive.]
These limits are a draft. They apply only as far as the law allows. They do not limit a right a consumer statute keeps.
Indemnity
You will defend and indemnify us and our directors, employees, and contractors against a third-party claim that arises from your instructions, from an account you connected without rights, from your misuse of the service, or from your violation of these terms. You will not settle that claim in a way that admits our fault or imposes a duty on us unless we agree in writing. [Counsel will narrow this clause if a consumer contract should not include it.]
Governing law and disputes
Governing law. These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. If you are a consumer, this choice does not take away a protection that the law of the state where you live gives you and does not let you waive. [Counsel: confirm New York law for consumers in other states.]
Venue. Except for a claim in small-claims court, a dispute about these terms or Terminal goes to the state courts located in New York County, New York, or the United States District Court for the Southern District of New York. You and we agree to the personal jurisdiction of those courts. [Counsel: confirm this venue for consumers.]
Small claims. Either of us may bring a claim in small-claims court instead, in New York County or in the county where you live, if the claim qualifies.
Arbitration. [Arbitration: counsel]
Until counsel replaces the arbitration line above with a completed clause, these terms do not require arbitration and do not waive a jury trial or a class action. Nothing in this draft takes away a right that a statute says cannot be waived. That includes a right to ask a court to stop a practice that affects the public where a statute keeps that right.
We would rather fix a billing or privacy problem first. Write to us through the contact path in the seller details and give us 30 days before you file, unless the law says you do not have to wait.
Other terms
If a court removes a clause, the rest of these terms stay in effect. Waiting to enforce a right is not a waiver. You may not assign these terms. We may assign them if the business is transferred. These terms, the privacy policy, the refund policy, the acceptable use policy, the data sources notice, the copyright policy, the AI and data notice, and the not-investment-advice notice are the whole agreement for Terminal. A side email does not change them unless we both sign, or unless the email is the renewal notice these terms already require.
A failure of the service, a late data feed, or a model error is not a reason to ignore the sanctions section or the acceptable-use section.
